Terms of Service

1. Acceptance of Terms

By accessing or using the r4m.ai route optimization API, developer console, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

r4m.ai provides a route optimization API that accepts delivery addresses, calculates optimized routes using third-party optimization engines, and returns the results via API responses or webhook delivery. The Service includes:

• A REST API for submitting optimization requests and retrieving results
• A developer console for managing API keys, monitoring usage, and configuring account settings
• Webhook delivery for receiving optimization results at your designated endpoints
• Documentation and API reference materials

3. API Usage and Rate Limits

Your use of the API is subject to rate limits and usage quotas based on your subscription plan. You agree to:

• Not exceed the rate limits or capacity limits associated with your plan. Requests exceeding your quota will be rejected with an appropriate error response.
• Not attempt to circumvent rate limiting, authentication, or other security measures through any means, including but not limited to creating multiple accounts.
• Not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Not reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service.
• Keep your API keys confidential. You are responsible for all activity that occurs under your API keys. Revoke compromised keys immediately via the developer console.

We reserve the right to throttle or suspend access to the Service if we detect abusive usage patterns, without prior notice.

4. Billing and Payment

The Service is billed from a prepaid balance, with optional plan tiers (Free and Pro, with larger capacity available under an individual agreement) for capacity. By topping up or subscribing to a paid plan, you agree to the following:

• Top-ups add to a prepaid balance in US dollars. The balance does not expire and is spent per request based on complexity.
• Plans (where offered) provide rate limits, per-request address limits, and, under an individual agreement, dedicated support. Plans do not include or discount usage, which is paid from the balance.
• Paid plan subscriptions, where applicable, are billed monthly in advance and may be changed at any time, taking effect at the start of the next billing cycle.
• All fees are stated in US dollars and are non-refundable, except as required by applicable law.
• We reserve the right to modify pricing with 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Payments are processed by Stripe. By providing payment information, you also agree to Stripe's Terms of Service.

5. Intellectual Property

The Service, including its design, code, documentation, and branding, is the intellectual property of r4m.ai and is protected by applicable intellectual property laws.

You retain ownership of all data you submit to the Service, including address data and configuration parameters. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.

Optimization results generated by the Service are owned by you and may be used without restriction in your applications.

6. Limitation of Liability

To the maximum extent permitted by applicable law, r4m.aiand its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that optimization results will be accurate for all use cases.

7. Termination

You may terminate your account at any time by contacting us or through the developer console. Upon termination:

• Your access to the Service will be immediately revoked and all API keys will be invalidated.
• Any unused balance on your account will be forfeited.
• We will retain your data for a reasonable period as required by law or legitimate business purposes, after which it will be deleted.

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms, abusive behavior, or non-payment. We will make reasonable efforts to notify you prior to termination, except in cases of fraud or imminent security threats.

8. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
